The Contracting Parties agree that the place of conclusion of this Agreement is the place of registration of the Company, namely 48734 Reken, Germany.

The goal of this host agreement host

Account Registration

To register an account, the host fills out the registration form on the host platform's website app.desk-now.com

The host accepts the terms of this agreement.

If the host is a legal entity, he should also provide the following documents to the company for his registration by sending an email to kyc.pam@desk-now.com sends or uses the confirmation form when registering:

Deed of Incorporation;

For revenue share payment models, commission is calculated based on one of the five compensation offers selected during account registration:
“Office”, “CoW Basic”, “CoW Advanced”, “CoW Business”, “CoW Corp”.-
The commission is calculated and credited to the host's balance as follows:

After a booking has been successfully made on DeskNow: a percentage (depending on the guest level) of the booking amount will be reserved by DeskNow as a service fee;

The commission is only payable for the bookings made by the customers who book through desk-now.com.

For hosts registered with “Office Membership” (one location/office), the commission will be calculated and credited to the host balance as follows:

For each successful booking via DeskNow at daily rates, 20 % of the total booking amount is reserved for DeskNow as a service fee.

For each successful booking via DeskNow at weekly rates, 19 % of the total booking amount is reserved for DeskNow as a service fee

For each successful booking via DeskNow at monthly prices, 17 % of the total booking amount is reserved for DeskNow as a service fee

For hosts registered with “CoW Basic” (more than one and up to four locations/offices), the commission will be calculated and credited to the host balance as follows:

For each successful booking via DeskNow at daily rates, 17 % of the total booking amount is reserved for DeskNow as a service fee

For each successful booking via DeskNow at weekly rates, 16 % of the total booking amount is reserved for DeskNow as a service fee

For each successful booking via DeskNow at monthly prices, 14 % of the total booking amount is reserved for DeskNow as a service fee

For hosts registered with “CoW Advanced” (more than four and up to 40 locations/offices), the commission will be calculated and credited to the host balance as follows:

For each successful booking via DeskNow at daily rates, 15 % of the total booking amount is reserved for DeskNow as a service fee.

For each successful booking via DeskNow at weekly rates, 14 % of the total booking amount is reserved for DeskNow as a service fee

For hosts registered with “CoW Business” (more than 40 and up to 80 locations/offices), the commission will be calculated and credited to the host balance as follows:

For each successful booking via DeskNow at daily rates, 14 % of the total booking amount is reserved for DeskNow as a service fee.

For each successful booking via DeskNow at weekly prices, 13 % of the total booking amount is reserved for DeskNow as a service fee

For each successful booking via DeskNow at monthly prices, 11 % of the total booking amount is reserved for DeskNow as a service fee

For hosts registered with “CoW Corp” (80+ locations/offices), commission will be calculated and added to host balance as follows:

For each successful booking via DeskNow at daily rates, 12 % of the total booking amount is reserved for DeskNow as a service fee.

For each successful booking via DeskNow at weekly rates, 11 % of the total booking amount is reserved for DeskNow as a service fee

For each successful booking via DeskNow at monthly prices, 9 % of the total booking amount is reserved for DeskNow as a service fee
The commission is only payable for the bookings made by the customers who book through desk-now.com.

The currency of the Host Account to be managed with the Company is denominated in EUR and all Host Host Commissions payouts are calculated and presented in EUR. Host Commissions are paid out by the Company to the Host via any payment method specified on the Host's account and/or by any type of instrument/currency with a corresponding EUR value when converted (Payment Method). For payment methods that are carried out in EUR, the exchange rate for the conversion corresponds to the last EUR/USD reference rate provided by the European Central Bank at the time the payment was processed. The Company may, in its sole discretion and discretion from time to time, elect to use any payment method to account for a Host Host Commission/Payout. The Host will provide the Company with all relevant details, banking or otherwise to process the Host Commission payout Host (Payment Details). The Host irrevocably accepts the Company's use of any payment method and such acceptance will be indicated by providing the appropriate payment details.

The Host acknowledges and accepts that the Company must treat as accurate and true and must fully rely on the payment details. Payments made by the Company to the Host via any Payment Method and based on the Payment Details constitute full and unequivocal fulfillment of the Company's obligations in relation to the payment of Host Host Commissions/Payouts.

The Host acknowledges, represents and warrants to the Company that all payment details provided to the Company from time to time are accurate, correct and up to date and that it is solely responsible for informing the Company in the event of any changes, which would affect the payments due herein.

In order to receive payment, the host must have a verified account and no less than 5 customers during the cooperation period. The number of active clients can be viewed in the General Statistics section. For the Revenue Share payment models, an active customer is defined as a user who has made at least one booking through the DeskNow platform; Any accumulated balances on the Host's account balance will be credited on the next payment day after meeting the requirement of having at least 5 active customers on the Host's account. The minimum commission amount payable is €100

The commission is paid twice a month.

For the first half of the month – within 3 business days after the 15th of each month;'

For the second half of the month - within the first 3 working days of the next month.

If commission is payable as calculated in the manner set out in this Agreement, it will be paid at the Company's discretion at the frequency specified above, either directly by the Company or by third parties on behalf of the Company. A payment made in any of the above ways discharges the Company from its obligations regarding commission payment.

Notwithstanding any other provision of the Agreement, Company may, at Host Host's sole discretion, delay payment of Commission to Host for up to eighty-eight (180) days to investigate and verify the suspicious activity.

Authority and liabilities of the contracting parties

The Company bears no responsibility for the activity or inactivity of the Host.

The Company assumes no responsibility for failure to perform its obligations due to communication line failures, Internet Service Provider technical problems and/or other technical problems.

The host is responsible for the security of their passwords and payment information.
-
The Host warrants that all of its personally identifiable information provided to the Company is true, accurate and current.

Host warrants that its actions in accordance with this Agreement will not violate any law, legal act and other rules and regulations applicable to Host or in Host's jurisdiction.

The host is responsible for paying any taxes that they are subject to in their state of tax residence.

The Company reserves the right to withhold an account review without explanation.

The host undertakes:
-
Provide scanned copies of the company registration document and a confirmation document of residence by email kyc@desk-now.com or via the registration form. Residence verification documents are the following: a utility bill, bank statement, or government correspondence. In the event of failure to provide these documents, the Company reserves the right to suspend payments to the Host until the required documents are provided.

If the host is a legal entity, it should provide scanned copies of the documents referred to in claim 4.3. of this Agreement by email kyc@desk-now.com . In case of failure to provide these documents, the Company also reserves the right to suspend payments to the Host until the required documents are provided.

Notify the company of any changes to your personal and/or financial information by sending an email to kyc.pam@desk-now.com send or go to “Settings” -> “Saved Maps”.

Provide real and accurate information.

Provide only true, accurate, clear and current information on its websites and in marketing advertisements/publications and other sources.

Do not make any guarantees or promises on behalf of the company.

Termination and Suspension of Host Host Account
-
In the event that the Company has a reasonable suspicion to believe and/or in the event of the discovery of a violation of the rules and/or policies set forth in this Agreement, as well as in the event of indications of fraud in the conduct of financial transactions, after the attracted Once a customer has made a booking, the company reserves the right to cancel this transaction and suspend the flow of funds to the host's account. Any authorization or power of attorney or rights granted by the Host to a Customer/User will be automatically terminated;

All active users of Company referred to by Host in Company's sole discretion will remain registered customers of Company, regardless of termination of this Agreement and/or suspension of Host Host account;

Confidential & Personal Data

For the purposes of this section, the following definitions apply:

Privacy Laws : the applicable legislation on the protection of personal data and the General Data Protection Regulation (EU) 2016/679 (GDPR), any other directly applicable EU regulation in relation to privacy and/or the Data Protection Act (DPA) and any other local legislation of Reken, Germany, where applicable.

Personal Data , or Personal information is any information about an individual from which that individual can be identified. It does not include de-identified data (referred to as anonymous data).

Host agrees and acknowledges to Company that at all times:
-
to comply with its obligations under applicable data protection laws in relation to any processing of personal data carried out under this Agreement;

Ensure, at its own expense, that it complies with and provides the Company with any assistance that may be required to comply with the requirements of data protection laws and regulatory requirements applicable from time to time in relation to the use of personal data, including but not limited to the GDPR, and (b) comply with all national implementing laws, regulations and secondary legislation.

The Company has the right, without prior notice to the Host, to disclose any data relating to Confidential Information and/or details of the Host's (i) transactions and/or disclosure of Personal Data, including but not limited to the data provided herein , and/or (ii) to banks and other financial institutions, to comply with the requirements of the regulatory authorities of Reken and/or Germany (if applicable) and/or (ii) to banks and other financial institutions, to their auditors/advisers, Companies belonging to the group of companies to which the Company belongs, to the Company's host companies and/or to any other company directly or indirectly controlled by the Company to facilitate the performance of this Agreement. , provided that they are informed and obliged about the confidentiality of the information transmitted. All personal data of the host will be processed in strict accordance with the provisions of data protection laws.

The Company will treat all Personal Data provided under this Agreement in accordance with relevant Personal Data Protection Laws and Regulations.

The Company, through the involvement of another legal entity, collects and processes personal data of individuals connected to the Hosts, including but not limited to the data requested under paragraphs 4.3, 4.4 and 7.1, solely for the purposes of this Agreement and the Requirement of applicable laws and/or regulations. Host represents and warrants, and Company hereby relies on such representations and warranties, that the consent of any individual (directors, ultimate beneficial owners, shareholders and/or authorized signatories of a Host that is a legal entity) to disclose their personal information transmitted to the Company has been made freely available and that each such individual is well informed and agrees to the disclosure requirements of Section 10.4 of this Agreement.

Subject to paragraph 10.2, the Parties agree to keep confidential and not disclose to any third party any Confidential Information provided by the other Party under this Agreement, including but not limited to the information required under paragraphs 4.3, 4.4 and 7.1 of this Agreement and/or any notice, document or other information exchanged between them, both during the term of the Agreement and after its termination.

The Host acknowledges and accepts that he/she has read and accepts the Privacy Policy which can be found on the Company's website. For purposes of this paragraph, read the term Client in the Privacy Policy to include the term Host.

The Company has the right to change, add, rename or leave unchanged any section, paragraph or subsection of this Agreement without prior notice to Customer of such changes. In the event of breach of any of the Host's obligations under this Hosting Agreement, as well as if the Company makes a decision on the inexpediency of further cooperation with the Host under the Hosting Agreement, the Company has the right to terminate the Hosting Agreement and the Host immediately without compensation for losses and without payment, including payment for the distribution of information about the company.

In some cases, Company may, at Company's option, pay Host's Profits even after unilateral termination of the Hosting Agreement with such Host. host host.

The Company may at any time assign, contract, delegate, sublicense or otherwise arrange any or all of the rights or obligations under the Agreement.

Host will not assign, transfer, pledge, subcontract, delegate, establish a trust or otherwise deal in any of its rights and obligations under this Agreement without the Company's prior written consent.

Any dispute, controversy or claim arising out of or relating to the Agreement or the breach, termination or invalidity of this Agreement shall be resolved by arbitration in accordance with Reken's Arbitration Laws, as amended from time to time, the provisions of which are incorporated herein by reference included in this procedure. The decision of the St. Vincent and the Grenadines arbitration shall be binding on both parties. If the parties do not agree on the appointment of an arbitrator within 7 clear days, the appropriate appointing authority of St. Vincent and the Grenadines will appoint the arbitrator.
